1. Acceptance of Terms
By accessing or using the EMPPLOY platform at empploy.nanocorp.app(the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
These Terms apply to all users, including visitors, registered users, and subscribers.
2. What EMPPLOY Provides
EMPPLOY offers the following tools and services:
- Employment Contract Generation: Automated generation of employment contract templates tailored to specific African jurisdictions based on information you provide.
- Compliance Information: Summaries and alerts regarding labor law requirements, regulatory deadlines, and payroll obligations across covered countries.
- Payroll & HR Automation: Optional subscription services for payslip generation, SSC/NamRA declaration assistance, and timekeeping reminders (available on paid plans).
- Outsourced Employment (Portage): Facilitation of the portage salarial employment model via our partner DI-AFRICA for eligible engagements.
Generated contracts are provided as templates. EMPPLOY makes reasonable efforts to ensure accuracy but does not warrant that contracts are legally sufficient for every individual circumstance.
3. No Legal Advice
EMPPLOY is a technology platform, not a law firm. The Service provides general legal information, not legal advice. Use of the Service does not create an attorney-client relationship. Outputs generated by the platform — including contracts, compliance summaries, and alerts — should be reviewed by a qualified legal professional before being relied upon for formal employment or regulatory purposes.
4. User Responsibilities
By using the Service, you agree to:
- Provide accurate and complete information when using contract generation forms.
- Review all generated documents carefully and obtain independent legal advice where appropriate before execution.
- Comply with all applicable laws in your jurisdiction, including labor, tax, and data protection regulations.
- Not use the Service for any unlawful purpose or to generate documents intended to facilitate fraud or non-compliance.
- Keep your account credentials confidential and notify us promptly of any unauthorized access.
5. Payment Terms
EMPPLOY offers a free tier (contract generation) and paid subscription plans. Paid plans are billed in Namibian Dollars (NAD) as follows:
- Compliance Plan: NAD 4,000 per year, per employee — includes payroll compliance tools and regulatory reminders.
- Outsourced Plan: NAD 9,000 per year, per employee — includes full portage salarial employment via DI-AFRICA.
Pricing is subject to change with 30 days' notice to active subscribers. Payments are processed via Stripe. Refunds are handled on a case-by-case basis — contact us within 14 days of a charge if you believe an error has occurred.
Subscription services marked with * are subject to applicable government regulations and the availability of third-party services (e.g., tax authority portals).
6. Intellectual Property
All platform content, software, and branding are the property of EMPPLOY and protected by applicable intellectual property laws. You may not copy, reproduce, or distribute platform materials without written permission.
Generated contracts and documents based on your inputs are owned by you. EMPPLOY retains no rights to the content of documents you create.
7. Limitation of Liability
To the maximum extent permitted by law, EMPPLOY shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of, or inability to use, the Service — including any reliance on generated contracts or compliance information without independent legal review.
Our total liability for any claim arising from these Terms shall not exceed the amount you paid to EMPPLOY in the 12 months preceding the claim.
8. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, with reasonable notice. You may cancel your subscription at any time by contacting us. Upon termination, your right to use the Service ceases immediately.
9. Governing Law
These Terms are governed by the laws of the Republic of Namibia, EMPPLOY's primary market. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Namibia, without prejudice to mandatory consumer protection provisions that may apply in other jurisdictions.
10. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email or a notice on the platform. Continued use of the Service after the effective date of changes constitutes acceptance of the revised Terms.
